Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and
Blueprint Software LLC ("Briefs", "we", "us", or "our") governing your access to
and use of the Briefs service at sharebriefs.com (the "Service"). By creating an
account or using the Service, you agree to these Terms. If you do not agree, do
not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a binding contract to use the
Service. If you use the Service on behalf of an organization, you represent that
you are authorized to bind that organization to these Terms.
2. Your Account
You are responsible for maintaining the confidentiality of your account
credentials and for all activity that occurs under your account. Notify us
promptly of any unauthorized use. We may suspend or terminate accounts that
violate these Terms.
3. Your Content
You retain ownership of the briefs, comments, and other content you create or
upload ("Your Content"). You grant us a worldwide, non-exclusive license to
host, store, reproduce, and display Your Content solely as needed to operate and
provide the Service. You are responsible for Your Content and represent that you
have the necessary rights to it and that it does not violate any law or
third-party right.
4. Acceptable Use
You agree not to:
- use the Service for any unlawful, harmful, or fraudulent purpose;
- upload content that infringes intellectual property or privacy rights;
- attempt to gain unauthorized access to the Service or other users' accounts;
- interfere with, disrupt, or overload the Service or its infrastructure;
- reverse engineer or scrape the Service except as permitted by law; or
- resell or provide the Service to third parties except as expressly allowed.
5. Plans, Billing, and Seats
Paid plans and seats are billed in advance on a recurring basis through our
payment provider, Stripe. Fees are non-refundable except as required by law or
expressly stated. You authorize us and Stripe to charge your payment method for
all fees, including applicable taxes. We may change our prices with reasonable
prior notice, effective at the start of your next billing period.
6. Third-Party Services
The Service integrates with third-party services, including authentication
providers (such as Google, Apple, and your organization's single sign-on
provider) and payment processing. Your use of those services is subject to their
own terms and policies, and we are not responsible for them.
7. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Briefs
and its licensors and is protected by intellectual property laws. Except for the
rights expressly granted to you, we reserve all rights in the Service.
8. Termination
You may stop using the Service and delete your account at any time. We may
suspend or terminate your access if you breach these Terms or if we discontinue
the Service. Upon termination, your right to use the Service ceases; sections
that by their nature should survive will survive.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any
kind, whether express or implied, including warranties of merchantability,
fitness for a particular purpose, and non-infringement. We do not warrant that
the Service will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Briefs will not be liable for any
indirect, incidental, special, consequential, or punitive damages, or for any
loss of profits or data, arising out of or related to your use of the Service.
Our total liability for any claim relating to the Service will not exceed the
amount you paid us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Briefs from any claims, damages, and
expenses arising out of Your Content or your violation of these Terms or
applicable law.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. When we make material
changes to these Terms, we will update the "Last updated" date above and, where
appropriate, provide additional notice. Your continued use of the Service after
changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States,
without regard to its conflict-of-laws rules. Disputes will be resolved in the
courts located in Delaware, unless otherwise required by applicable law.
